Terms of Service – Agentive™

By accessing or using Agentive's services, you confirm that you have read, understood, and accepted these Terms. If you act on behalf of an organisation, you warrant that you are authorised to bind that organisation to these Terms.

When you use Agentive's services, you agree to:

1. Provide accurate, current, and complete information.
2. Keep your account credentials confidential and secure.
3. Use integrations (e.g. Facebook SDK, Google Analytics) in accordance with their terms.
4. Comply with all applicable laws, including privacy, intellectual property, and consumer-protection regulations.
5. Refrain from unauthorized access, reverse engineering, or interfering with service functionality.
6. Not generate or distribute unlawful, harmful, deceptive, or abusive content.

You must not use Agentive™ to:

• • Create or spread false, harmful, or discriminatory material.
• • Engage in phishing, spam, or impersonation.
• • Mine or harvest personal data without proper consent.
• • Circumvent access controls or perform security testing without authorization.

Violation of this policy may result in immediate suspension or termination of your access, without prior notice.

All content, software, and technology behind Agentive™ are owned by Agentive™ Consulting or its licensors, including:

• • Source code, algorithms, and machine-learning models
• • User interface designs and visual assets
• • Trademarks, logos, and brand names

You are granted a limited, non-exclusive, non-transferable license to use the services for your internal business purposes. Any other use—copying, modifying, distributing, or creating derivative works—is prohibited without prior written consent.

• • Prices are quoted in Australian Dollars (AUD) unless stated otherwise.
• • Subscription fees are billed in advance on a monthly or annual basis.
• • Subscriptions renew automatically unless canceled before the next billing date.
• • We use secure third-party payment processors; your billing details are never stored on our servers.
• • Refunds are governed by the Australian Consumer Law.
• • Non-payment may result in suspension of your account until resolution.

Your use of Agentive™ is subject to our Privacy Policy, which details how we collect, use, and protect your personal information in compliance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

We strive for high uptime but cannot guarantee uninterrupted access. We may:

• • Perform maintenance or updates with minimal notice.
• • Introduce, modify, or retire features to improve performance or comply with legal requirements.
• • Change pricing or subscription tiers with reasonable advance notice.

We are not liable for delays or interruptions beyond our reasonable control.

To the fullest extent permitted by law:

• • Agentive™ services are provided "as is" without warranties of any kind.
• • Agentive™ Consulting shall not be liable for indirect, incidental, or consequential damages, including lost profits or data.
• • Our total liability is capped at the fees you've paid us in the 12 months preceding any claim.
• • Nothing in these Terms excludes your rights under the Australian Consumer Law.

We may suspend or terminate your access if:

• • You breach these Terms or any applicable law.
• • We detect misuse, fraud, or security threats.
• • Continued access poses risk to our infrastructure or other users.

In non-urgent cases, we will provide reasonable notice before suspension or termination.

• • We encourage you to contact us first to resolve any concerns informally.
• • If unresolved, both parties agree to attempt mediation before commencing legal action.
• • These Terms are governed by the laws of the State of Victoria, Australia.
• • Exclusive jurisdiction lies with the courts of Victoria.

We may update these Terms periodically. When we do:

• • The revised Terms will be posted here with a new "Effective Date."
• • We may notify registered users by email if changes are material.
• • Continued use after updates constitutes acceptance of the new Terms.
